These Terms of Service (these "Terms") govern your access to and use of the JourneyBot AI platform, products, and services (collectively, the "Service"). By signing up for or using JourneyBot AI, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other entity (such as a travel agency), you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use our Service.
Eligibility: You must be at least 18 years old and a duly authorized representative of a travel agency or related travel business to use JourneyBot AI. The Service is intended for business use by travel agencies (B2B) and is not meant for personal consumer use by individual travelers (except for their indirect use when interacting with your travel agency via WhatsApp).
Account Registration: To access the admin dashboard and utilize our Service, you are required to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account or any other breach of security. JourneyBot AI will not be liable for any loss or damage arising from your failure to safeguard your account information.
JourneyBot AI provides an intelligent chat automation platform integrated with WhatsApp to assist travel agencies in managing customer inquiries and communications. Through our Service, travel agencies can automate responses to travelers’ messages on WhatsApp using artificial intelligence and manage these conversations via an online admin dashboard. Key aspects of the Service include:
You understand and agree that JourneyBot AI is a tool to facilitate communication and does not itself provide travel services or make representations to your customers. Any agreements, bookings, or transactions between you (the travel agency) and your customers (the travelers) are solely between you and those customers. JourneyBot AI is not responsible for fulfilling travel arrangements or resolving disputes between you and any third party. Note: JourneyBot AI is an independent service and is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta Platforms, Inc. It utilizes WhatsApp’s platform in compliance with WhatsApp’s terms of service.
By using our Service, you agree to the following rules and responsibilities:
Service Fees: Access to and use of JourneyBot AI may require payment of subscription fees or other charges, as described on our website or in a separate order form or agreement. You agree to pay all fees applicable to your use of the Service, and you authorize us (and our designated payment processor, Razorpay) to charge your chosen payment method for such fees.
Payment Processing: All payments are processed via Razorpay, our third-party payment gateway. By subscribing to our Service or making any payments, you also agree to abide by Razorpay’s terms and policies. We do not collect or store full credit card numbers or banking credentials on our own servers. Payment information you provide is transmitted securely to Razorpay for processing. You are responsible for providing current, complete, and accurate billing information, and for keeping your payment method up-to-date (e.g., if your card expires, you must update the details).
Failed Payments and Suspension: If a payment is not successfully settled due to expiration, insufficient funds, or otherwise, we may suspend or restrict your access to the Service until the billing issues are resolved. You agree to promptly address any payment failures. We reserve the right to charge interest on overdue amounts at the rate permitted by law, and/or to recover debts through legal means if necessary.
Refunds: Fees are generally non-refundable. Any exceptions (such as a pro-rata refund for a long-term prepaid plan if we discontinue the Service) will be at our discretion or as required by law. If you believe you have been charged in error, please contact us at our support email so we can review the issue. Approved refunds will be issued via the original payment method when possible.
Ownership by JourneyBot AI: JourneyBot AI (and its licensors) retain all right, title, and interest in and to the Service and all software, technology, and content provided by us. This includes all intellectual property rights such as trademarks, logos, branding, the website design, and the underlying software code. Using our Service does not grant you any ownership of any intellectual property rights in our Service or the content you access (other than your own content).
Your License to Use the Service: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the JourneyBot AI Service for your internal business purposes. You may not resell or redistribute the Service, and you may not copy, modify, or create derivative works based on the Service except as expressly allowed by us. Any rights not expressly granted to you in these Terms are reserved by JourneyBot AI.
Your Content and Data: You retain ownership of all content and data you provide or generate while using the Service (including messages, information about your travelers, and any other material you submit). By using the Service, you grant JourneyBot AI the right to process, transmit, and display your content as necessary to provide the Service. For example, we may temporarily store messages or send them to OpenAI’s systems to create responses, and we will display conversation content on your dashboard for your review. We will handle your content in accordance with our Privacy Policy and maintain its confidentiality.
Feedback: If you choose to provide feedback or suggestions to us about our Service, you agree that we can use such feedback and ideas without any restriction or compensation to you. Any feedback you provide is completely voluntary, and we may use it to improve our Service.
Your use of the Service is subject to our Privacy Policy, which is hereby incorporated into these Terms. The Privacy Policy explains how we collect, use, and protect personal information. By using JourneyBot AI, you acknowledge that you have read our Privacy Policy and understand that personal data (including travelers’ phone numbers and message content) will be processed by JourneyBot AI and its third-party providers (such as WhatsApp and OpenAI) to deliver the Service. You represent and warrant that you have any necessary legal basis (such as consent) for JourneyBot AI to process personal data on your behalf as described in the Privacy Policy. If you, as a travel agency, collect personal information from your customers and input or allow it to be processed through our Service, you are responsible for doing so in compliance with applicable privacy laws.
Confidential Information: In the course of using the Service, you may share with us or we may otherwise have access to certain confidential information of your business (for example, customer lists or specific travel plans). Likewise, you may have access to our confidential information, such as non-public features or product plans. Each party agrees to take reasonable measures to protect the other’s confidential information and not to disclose it to any third party except as needed to provide the Service or as required by law. Confidential information does not include information that is or becomes public through no fault of the receiving party, or that was independently developed or rightfully obtained by the receiving party outside of this agreement.
Security: We employ security measures to safeguard the Service and your data, as described in our Privacy Policy. However, you understand that no system is perfectly secure. You agree to use appropriate measures to ensure the security of your own systems and data when using our Service. This includes keeping your login credentials secure and using the Service in a secure environment. If you discover any security vulnerabilities or incidents, you agree to promptly notify us so that we can take appropriate action.
As-Is Service: JourneyBot AI is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, relating to the Service and its use. This includes any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the Service will meet your requirements, achieve any intended results, be compatible with all systems, or be secure, uninterrupted, or error-free.
AI Responses: While JourneyBot AI strives to provide helpful and accurate automated responses through its AI (OpenAI) integration, we make no guarantee of the accuracy or completeness of any AI-generated content. You understand that AI-generated responses may occasionally be incorrect or misleading. It is your responsibility to review and verify critical information. We are not liable for any actions you take in reliance on information provided by the AI without appropriate verification.
Third-Party Services: We do not guarantee the continuous availability of any third-party systems, such as WhatsApp or OpenAI. Their services are outside our control, and they may experience downtime or change their functionality. JourneyBot AI is not responsible for any issues attributable to third-party providers or platforms, but we will make reasonable efforts to minimize disruptions to the Service.
To the maximum extent permitted by applicable law, in no event shall JourneyBot AI or its affiliates, officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or use, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages. This limitation of liability applies to all causes of action, whether based on warranty, contract, tort (including negligence), or any other legal theory.
To the extent that liability cannot be disclaimed or excluded by law, the total liability of JourneyBot AI and its affiliates for any claim arising from or related to these Terms or the Service will be limited to the amount you paid us for the Service in the six (6) months immediately preceding the event giving rise to the claim. If you have not paid any amount, our liability will be zero to the extent permitted by law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless JourneyBot AI and its owners, affiliates, officers, agents, employees, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
We reserve the right to handle our legal defense however we see fit, even if you are indemnifying us, in which case you agree to cooperate with us. This indemnity obligation will survive the termination or expiration of your relationship with JourneyBot AI.
By You: You may stop using JourneyBot AI at any time. You may also terminate your account by providing written notice to us or by using any account deletion function we provide. Terminating your account will cease your access to the Service. Keep in mind that termination does not automatically relieve you of any obligations incurred, such as unpaid fees, and we may retain certain data as required by law or as outlined in our Privacy Policy.
By JourneyBot AI: We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, with or without cause, and with or without notice. Reasons for termination may include (but are not limited to) your breach of these Terms, your use of the Service in a manner that could cause us legal liability or disrupt others’ use of the Service, an extended period of inactivity in your account, or if our relationship with a third-party partner (such as WhatsApp or OpenAI) ends or requires us to change the way we provide the Service.
Effect of Termination: Upon termination of your account or access, these Terms will cease to apply, except for those sections that by their nature should survive (such as intellectual property rights, disclaimers, limitation of liability, indemnity, and governing law). If your account is terminated, you will lose access to any data or content stored in the Service, so you should ensure you have alternate backups of any important information. We are not liable to you or any third party for termination of your access to the Service.
These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to its conflict of law principles. You and JourneyBot AI agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of competent jurisdiction located in the State of Maharashtra, India. Notwithstanding this, you agree that JourneyBot AI is allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction if necessary to prevent misuse of the Service or infringement of intellectual property rights.
We may modify or update these Terms from time to time. If we make material changes, we will notify you by reasonable means – for example, by sending an email to the address associated with your account or by posting a notice on our website or admin dashboard. The notification will designate an effective date for the new terms. By continuing to use the Service after any changes to these Terms take effect, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the changes become effective.
Entire Agreement: These Terms (together with the Privacy Policy and any additional agreements you have with us in writing) constitute the entire agreement between you and JourneyBot AI regarding the Service, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
Waiver: No waiver by JourneyBot AI of any breach or default by you under these Terms shall be deemed a waiver of any preceding or subsequent breach or default. Our failure to enforce any right or provision under these Terms will not constitute a waiver of that provision or any other provision.
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, then that provision will be deemed severable from the Terms and shall not affect the validity and enforceability of the remaining provisions, which will remain in full force and effect. The invalid or unenforceable provision will be interpreted in a manner that most closely reflects the original intention of the provision, to the extent permitted by law.
Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, without our prior written consent. Any attempted assignment in violation of this provision is void. JourneyBot AI may freely assign or transfer these Terms (in whole or in part) as part of a merger, acquisition, sale of assets, or by operation of law or otherwise without any notice or consent from you.
Relationship of Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, fiduciary, or employment relationship between you and JourneyBot AI. Both parties are independent contractors. You do not have any authority to bind or commit JourneyBot AI, and vice versa.
Force Majeure: JourneyBot AI will not be liable for any failure or delay in performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil disturbances, strikes, pandemics, fires, floods, power outages, interruptions of communications or the internet, or other events of force majeure.
